Powersoft Acquires K-Array and Signals Transition to Solution Provider

Powersoft, the Italian company that heads the Powersoft Group operating worldwide, announced the signing of a binding investment agreement to acquire 51% of the share capital of K-array from shareholder H.P. Sound Equipment. Powersoft says that the acquisition of K-Array expands and strengthens its position as a professional audio solutions provider, allowing the group to transition from a product focus into becoming a solution provider in existing and new markets.
K-Array is an Italian company that designs and manufactures original and sometimes innovative audio systems for a wide range of installed audio applications, that in recent years also evolved to a complete range of lighting and commercial control solutions. Powersoft says that this acquisition values the strong focus on innovation, proprietary technologies, and the enhancement of Made in Italy concepts that complement its own market position. The scope of the transaction also includes 50% of the share capital of K-Array USA, active in the distribution of K-Array products in the United States.
The price for the acquisition of the K-array 51% stake was established as 50 million Euros. K-array’s share capital was 100% owned by HP Sound, in turn owned by K-array’s founders and management, specifically with 53.7% by Gioia S.r.l. and 28.3% by Massimo Ferrati. The acquisition agreement also envisages the mutual granting of call and put options in favor of Powersoft and HP Sound, respectively, on the remaining 49% of K-array’s share capital. The closing of the transaction is, to date, expected by March 2025.

K-array, founded in 2005 and headquartered in Scarperia e San Piero (Florence), and currently with over 100 highly qualified employees, operates primarily through 3 brands targeting different market segments: K-array, the company’s main brand focused on audio professionals, K-Gear, dedicated to traditional and more affordable audio solutions, and K-Scape, specializing in high-quality audio and lighting systems that combine sound and lighting with sophisticated design.

The acquisition is also identified as part of Powersoft’s growth strategy to transform the Group from a Product Company to a Solution Provider, with a primary focus on the transportation and automotive sectors. In this regard, Powersoft signed a technology partnership with Ferrari S.p.A., signaling its entry into the automotive industry.
By combining its know-how in amplification systems, signal processing, and transducers with K-array’s expertise in loudspeaker engineering and design, Powersoft says that it will be able to accelerate its expansion in these markets and strengthen its position by “offering innovative, efficient, and uniquely designed audio systems. These systems will meet the growing demands for quality, reliability, and space optimization required by the automotive industry and modern transportation systems.”
This transaction creates a leading group in the professional audio industry on an international scale, leveraging a wide range of products, technological expertise, and the innovative approach of two highly complementary companies. The combination of the two companies is expected to create revenue synergies through enhanced product diversification, expanded target markets, and greater geographical reach.
